1. ACCEPTANCE OF TERMS

Welcome to DoorIQ ("we," "our," "us," or "Company"). These Terms of Service ("Terms") govern your access to and use of the DoorIQ platform, website, and services (collectively, the "Service").

BY ACCESSING OR USING OUR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS.

If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("you," "your," or "User") and DoorIQ Inc.

2. DESCRIPTION OF SERVICE

DoorIQ provides an AI-powered sales training platform designed for door-to-door sales representatives. The Service includes:

  • Interactive conversational AI training sessions
  • Realistic homeowner personas and scenarios
  • Real-time feedback and coaching
  • Performance analytics and reporting
  • Manager dashboards and team management tools
  • Custom voice persona creation (for certain plans)
  • Progress tracking and learning resources

The Service is intended for business use by sales organizations and individual sales professionals.

3. ELIGIBILITY

3.1 Age Requirement

You must be at least 18 years old to use the Service. By using DoorIQ, you represent and warrant that you are at least 18 years of age.

3.2 Authority

If you are using the Service on behalf of a company or organization:

  • You represent that you have authority to bind that entity to these Terms
  • "You" and "your" refer to both you individually and the organization

3.3 Geographic Restrictions

The Service is currently available in the United States and select international markets. We reserve the right to restrict access from certain locations.

4. ACCOUNT REGISTRATION

4.1 Account Creation

To use the Service, you must create an account by providing:

  • Your name and email address
  • A secure password
  • Company/organization information (for team accounts)
  • Payment information (for paid plans)

4.2 Account Accuracy

You agree to:

  • Provide accurate, current, and complete information
  • Update your information promptly if it changes
  • Maintain the accuracy of your account information

4.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Not sharing your account credentials with others

We are not liable for any loss or damage arising from your failure to protect your account credentials.

4.4 Account Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • You provide false or misleading information
  • Your account is used for fraudulent or illegal activity
  • Your payment fails or your account is past due
  • We discontinue the Service (with notice)

5. SUBSCRIPTION PLANS AND PAYMENT

5.1 Subscription Tiers

DoorIQ offers multiple subscription plans:

  • Solo/Startup: $99/month for 1 rep
  • Team: $79/month per rep (5-20 reps)
  • Growth: $59/month per rep (21-100 reps)
  • Enterprise: Custom pricing (100+ reps)

5.2 Free Trial

We may offer a 14-day free trial for new users. No credit card is required for the trial. At the end of the trial, you will be automatically downgraded to a free limited plan unless you upgrade to a paid subscription.

5.3 Billing

Monthly Billing:

  • Charged on the same day each month
  • Based on number of active users/seats
  • Billed in advance for the upcoming month

Annual Billing:

  • Charged once per year
  • 15% discount applied (equivalent to 2 months free)
  • Billed in advance for the full year

All fees are in U.S. Dollars (USD).

5.4 Payment Authorization

By providing payment information, you authorize us to charge:

  • Subscription fees on recurring basis
  • Any applicable taxes
  • Additional fees for upgraded features or services

We use third-party payment processors (Stripe). You agree to their terms.

5.5 Price Changes

We reserve the right to change our prices with 30 days' advance notice via:

  • Email notification
  • Prominent notice on the platform

Price changes apply to future billing cycles. If you don't accept a price change, you may cancel your subscription before it takes effect.

5.6 Refund Policy

14-Day Money-Back Guarantee:

  • If unsatisfied within first 14 days of paid subscription, request full refund
  • Contact privacy@dooriq.ai within 14 days of initial charge
  • Refund processed within 7-10 business days

After 14 days:

  • Subscription fees are non-refundable
  • Unused time is not refundable if you cancel mid-cycle
  • You retain access until end of paid period after cancellation

We reserve the right to refuse refunds for suspected abuse or fraud.

5.7 Failed Payments

If a payment fails:

  • We will attempt to charge your payment method up to 3 times
  • You will receive email notifications of failed payments
  • After 3 failed attempts, your account may be suspended
  • You are responsible for any payment due during suspension

To reactivate a suspended account, update payment information and pay outstanding balance.

5.8 Taxes

You are responsible for all applicable taxes (sales tax, VAT, GST, etc.). We will collect and remit taxes where legally required.

6. ACCEPTABLE USE

6.1 Permitted Use

You may use the Service to:

  • Train sales representatives on door-to-door sales techniques
  • Practice objection handling and closing skills
  • Track and analyze training performance
  • Improve sales team effectiveness

6.2 Prohibited Use

You may NOT use the Service to:

Illegal Activities:

  • Violate any local, state, national, or international law
  • Engage in fraudulent or deceptive practices
  • Harass, threaten, or harm others
  • Impersonate any person or entity

Abuse of Service:

  • Upload malware, viruses, or harmful code
  • Attempt to hack, disrupt, or damage the Service
  • Reverse engineer or decompile the platform
  • Scrape, mine, or extract data without authorization
  • Create fake accounts or automate account creation
  • Share accounts across multiple users (except as permitted)

Inappropriate Content:

  • Upload sexually explicit, violent, or offensive content
  • Use discriminatory, hateful, or abusive language
  • Upload content that violates intellectual property rights
  • Impersonate real individuals without consent

Commercial Misuse:

  • Resell access to the Service without authorization
  • Use the Service to build a competing product
  • Use the Service for purposes other than sales training
  • Exceed usage limits or abuse "unlimited" features

We reserve the right to investigate suspected violations and take appropriate action, including account suspension or termination.

7. USER CONTENT

7.1 Your Content

"User Content" means any content you upload, record, or create using the Service, including:

  • Voice recordings from training sessions
  • Custom scenarios or scripts
  • Profile information and preferences
  • Feedback and communications

7.2 License to User Content

You retain ownership of your User Content. However, by using the Service, you grant DoorIQ a:

  • Worldwide, non-exclusive, royalty-free license
  • To use, store, reproduce, and process your User Content
  • For the purpose of providing and improving the Service
  • Including anonymized, aggregated analysis for product development

This license ends when you delete your User Content or terminate your account (subject to backup retention periods).

7.3 Responsibility for User Content

You are solely responsible for your User Content and represent that:

  • You own or have rights to use the content
  • Your content does not violate any laws or third-party rights
  • Your content does not contain confidential or proprietary information of others (unless authorized)

We are not responsible for User Content and do not endorse any User Content.

7.4 Monitoring and Removal

We reserve the right (but have no obligation) to:

  • Monitor User Content for compliance with these Terms
  • Remove or disable access to User Content that violates these Terms
  • Cooperate with law enforcement regarding illegal content

We do not pre-screen User Content and are not liable for any User Content uploaded by users.

7.5 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"):

  • We may use your Feedback without compensation
  • We own all rights to implement and commercialize Feedback
  • You waive any claims to Feedback

8. INTELLECTUAL PROPERTY

8.1 DoorIQ Ownership

The Service and all content, features, and functionality (excluding User Content) are owned by DoorIQ and are protected by:

  • Copyright, trademark, and trade secret laws
  • International intellectual property laws

This includes:

  • Platform code and architecture
  • AI models and training algorithms
  • Homeowner personas and scenarios
  • Graphics, logos, and design elements
  • Training materials and documentation

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for its intended purpose
  • Access training materials provided through the Service

This license does not permit you to:

  • Copy, modify, or create derivative works
  • Distribute, sell, or sublicense the Service
  • Reverse engineer or attempt to extract source code
  • Remove or obscure copyright or proprietary notices

8.3 Trademarks

"DoorIQ" and our logos are trademarks of DoorIQ Inc. You may not use our trademarks without prior written consent.

8.4 DMCA Policy

We respect intellectual property rights. If you believe content on our Service infringes your copyright, contact us at privacy@dooriq.ai with:

  • Description of the copyrighted work
  • Location of the infringing content
  • Your contact information
  • Statement of good faith belief of infringement
  • Statement under penalty of perjury that information is accurate
  • Physical or electronic signature

We will investigate and remove infringing content as required by the Digital Millennium Copyright Act (DMCA).

9. THIRD-PARTY SERVICES

9.1 Third-Party Integrations

The Service uses third-party services, including:

  • ElevenLabs: Conversational AI voice processing
  • Stripe: Payment processing
  • Google Analytics: Usage analytics
  • Email providers: Transactional and marketing emails

Your use of third-party services is subject to their respective terms and privacy policies.

9.2 Third-Party Links

The Service may contain links to third-party websites or services. We are not responsible for:

  • The content or practices of third-party sites
  • Any loss or damage from your use of third-party services

Third-party links do not constitute endorsement.

10. DISCLAIMERS

10.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • Merchantability: Fitness for a particular purpose
  • Non-infringement: Freedom from third-party claims
  • Accuracy: Completeness or reliability of content
  • Availability: Uninterrupted or error-free operation
  • Security: Freedom from viruses or harmful components

10.2 No Guarantee of Results

WE DO NOT GUARANTEE THAT:

  • The Service will meet your specific requirements
  • Using the Service will improve sales performance
  • Training results will be accurate or effective
  • The Service will be available at all times
  • Errors or bugs will be corrected

Your use of the Service is at your own risk.

10.3 AI Limitations

The AI-powered features:

  • Are experimental and continuously improving
  • May not always respond accurately or appropriately
  • Should not replace human judgment or real-world training
  • Are tools to supplement, not replace, traditional training methods

We are not responsible for decisions made based on AI-generated feedback.

11. LIMITATION OF LIABILITY

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOORIQ SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Business interruption or loss of use
  • Damages resulting from user errors or misuse
  • Damages from unauthorized access to your data
  • Damages from third-party services or content

THIS APPLIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability

IN NO EVENT SHALL DOORIQ'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

If you have not paid us anything, our liability is limited to $100.

11.3 Exceptions

Some jurisdictions do not allow limitation of liability. In such cases, our liability is limited to the extent permitted by law.

Nothing in these Terms excludes liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded by law

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless DoorIQ, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your User Content
  • Your negligence or willful misconduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification. You will cooperate with our defense.

13. MODIFICATION OF SERVICE

13.1 Changes to Service

We reserve the right to:

  • Modify, suspend, or discontinue any feature or the entire Service
  • Change pricing, plans, or features
  • Remove or add AI personas or training scenarios
  • Update technical infrastructure

We will provide reasonable notice of material changes.

13.2 Service Interruptions

The Service may be unavailable due to:

  • Scheduled maintenance (we will provide advance notice)
  • Emergency maintenance or security updates
  • Third-party service outages
  • Technical difficulties or infrastructure issues

We are not liable for any loss or inconvenience from Service interruptions.

14. TERMINATION

14.1 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription in account settings
  • Emailing privacy@dooriq.ai to request account deletion

Upon cancellation:

  • Billing stops at end of current paid period
  • You retain access until end of paid period
  • Your data will be deleted per our Privacy Policy

14.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your payment fails repeatedly
  • We are required to do so by law
  • We discontinue the Service

We will provide notice where reasonably possible.

14.3 Effect of Termination

Upon termination:

  • Your right to use the Service ends immediately
  • Your User Content will be deleted (subject to retention policies)
  • Outstanding fees remain due
  • Provisions that should survive (indemnification, disclaimers) continue

You may request a data export before termination by emailing privacy@dooriq.ai.

15. DISPUTE RESOLUTION

15.1 Informal Resolution

Before filing a claim, you agree to contact us at privacy@dooriq.ai to resolve the dispute informally. We will attempt to resolve within 30 days.

15.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration, NOT in court.

Arbitration terms:

  • Governed by Federal Arbitration Act (FAA)
  • Administered by American Arbitration Association (AAA)
  • Conducted under AAA Commercial Arbitration Rules
  • One arbitrator selected per AAA rules
  • Held in San Francisco, California
  • Decision is final and binding

You waive the right to a jury trial and class action lawsuits.

15.3 Exceptions to Arbitration

Either party may seek relief in court for:

  • Intellectual property disputes
  • Injunctive relief for urgent matters
  • Small claims court disputes (under jurisdictional limit)

15.4 Class Action Waiver

YOU AGREE TO BRING CLAIMS INDIVIDUALLY, NOT AS PART OF A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

16. GOVERNING LAW

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Any disputes not subject to arbitration shall be resolved in the state or federal courts located in San Francisco County, California.

You consent to the jurisdiction and venue of these courts.

17. GENERAL PROVISIONS

17.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and DoorIQ regarding the Service.

17.2 Amendments

We may modify these Terms at any time. We will notify you of material changes via:

  • Email notification
  • Prominent notice on the platform
  • Updating the "Last Updated" date

Your continued use after changes constitutes acceptance of modified Terms.

17.3 Waiver

Our failure to enforce any provision does not waive our right to enforce it later. Any waiver must be in writing.

17.4 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

17.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any successor or affiliate.

17.6 Force Majeure

We are not liable for failure to perform due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, acts of war
  • Government actions or regulations
  • Internet or telecommunications failures
  • Third-party service outages

17.7 No Agency

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and DoorIQ.

17.8 Export Compliance

You may not use the Service in violation of U.S. export laws and regulations. You represent that you are not located in a country subject to U.S. embargo or on any U.S. restricted party list.

17.9 Government Use

If you are a U.S. government entity, the Service is "commercial computer software" subject to standard commercial license terms.
